1. Changes to Services and Terms

We reserve the right at any time to modify these Terms of Service, the Services (including terminating, supplementing, modifying, adding, or discontinuing any content, feature, or service), equipment or software requirements, and pricing. Changes will be effective immediately upon posting. Your continued use of the Services after such changes constitutes acceptance. We shall not be liable for any modification, price change, suspension, or discontinuance of the Services.

2. Eligibility

You must be at least 18 years of age and legally able to enter into binding agreements to use the Services. By using the Services, you represent and warrant that you meet these requirements and that your use of the Services is permitted in your jurisdiction. We make no representation that the Services are appropriate or available for use in all locations. Those who access the Services do so on their own initiative and are responsible for compliance with applicable local laws.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. You may not share your account credentials with others or allow any third party to access your account. Hyperprop may, at any time and for any reason, in its sole discretion, suspend, deactivate, or terminate your access to the Services without notice or liability.

4. Description of Services

Hyperprop provides a proprietary trading evaluation and funded account platform. Users may participate in trading evaluations, manage simulated and funded accounts, and access related tools, analytics, and features. The Services include, but are not limited to, the trading terminal, journal, risk management tools, copy trading features, user profiles, and related APIs and integrations.

5. Trading Rules and Performance

All trading activities are subject to the rules and parameters set for each account type, including profit targets, drawdown limits, consistency rules, and position limits. Violation of trading rules may result in account termination without refund. Specific rules are outlined in the account agreements and within the platform interface. Hyperprop reserves the right to modify trading rules at any time.

We will track your overall performance under your account, including trade data, P&L, drawdown, and other metrics. We may collect and aggregate this data for analytics, eligibility determinations, and platform improvement. You acknowledge that Hyperprop may use aggregated and de-identified performance data for its business purposes.

6. Electronic Trading Risks

Market volatility, order volume, and system availability could result in delay or failure of order placements, cancellations, trade executions, or account access. Trade executions could occur at prices significantly different from those quoted at the time of order entry, or trades may not execute at all. The risks of delays and failures are assumed by the account holder. We recommend maintaining a backup plan for placing, canceling, executing, and confirming orders.

7. Payments, Subscriptions, and Refunds

All fees are outlined at the time of purchase. Payment must be made via the methods available on the platform. All credit and debit card information is provided directly to our third-party payment processors; we do not directly access, handle, or store your card information. Refund policies are subject to the specific terms of each product or evaluation. You may cancel subscriptions at any time, with cancellation taking effect at the end of the current billing cycle. No prorated refunds will be provided unless explicitly stated.

8. Prohibited Conduct

You agree not to:

• Use the Services for any unlawful purpose or in violation of these Terms
• Copy, reproduce, scrape, download, distribute, modify, or create derivative works from any part of the Services
• Reverse-engineer, decompile, or disassemble any software or technology within the Services
• Attempt to gain unauthorized access to any part of the Services, our servers, or networks
• Interfere with or disrupt the Services or impose unreasonable load on our infrastructure
• Use automated systems, bots, scrapers, or crawlers unless explicitly permitted
• Share your account credentials with any third party
• Impersonate any person or entity or misrepresent your identity or affiliation
• Harvest personal information about other users without their consent
• Transmit viruses, malware, or other harmful code
• Develop competing products or services based on the Services
• Engage in any activity that aims to render the Services inoperable

9. Intellectual Property

All content, features, functionality, design, logos, graphics, icons, images, text, and software of the Services are the sole property of Hyperprop and its licensors and are protected by copyright, trademark, and other intellectual property laws. No licenses, express or implied, are granted to you except as explicitly provided. Any unauthorized use of our intellectual property may result in legal action. All rights not expressly granted herein are reserved.

10. User-Generated Content

You are responsible for all content you submit, create, post, or transmit through the Services. By submitting content, you grant Hyperprop a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with the Services. We cannot guarantee that user-generated content will not be viewed by unauthorized persons. Content posted to public areas may remain viewable in cached or archived pages even after removal.

11. Feedback

If you submit feedback, comments, ideas, or suggestions for improvements to the Services, you agree that we are free to use them without restriction or compensation. You acknowledge that submissions to Hyperprop are not confidential and do not create any fiduciary or contractual relationship beyond these Terms.

12. Availability

While we endeavor to minimize downtime, we cannot guarantee that the Services will be uninterrupted, secure, or error-free. We reserve the right to interrupt or suspend the Services at any time, with or without notice. Hyperprop does not guarantee the accuracy, currency, or completeness of information on the Services and reserves the right to correct errors or update information without prior notice.

13. Disclaimer of Warranties

The Services are provided "as is" and "as available" without representation, warranty, or condition of any kind, either express or implied, including but not limited to the implied warranties of merchantability, accuracy, quality, title, non-infringement, or fitness for a particular purpose. Hyperprop does not warrant that the Services will meet your requirements or that their use will be secure, uninterrupted, or error-free. Some jurisdictions do not allow limitations on implied warranties, so the above limitations may not apply to you.

14. Limitation of Liability

You assume all responsibility and risk for use of the Services. To the maximum extent permitted by law, in no event shall Hyperprop or any of its suppliers, licensors, directors, officers, employees, or agents be liable for any incidental, indirect, punitive, exemplary, consequential, or other damages whatsoever, including damages for loss of profits, business interruption, or loss of data, arising out of or in connection with these Terms or your use of the Services, even if advised of the possibility of such damages. Hyperprop's maximum aggregate liability shall not exceed $100 USD. Some jurisdictions do not allow exclusion of liability, so the above may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold Hyperprop harmless from any liabilities, claims, losses, costs, and expenses (including attorney's fees) arising from: (1) your breach of these Terms; (2) your use of the Services; or (3) your violation of the rights of any third party. We reserve the right to assume the exclusive defense of any matter subject to indemnification by you. This section survives termination of these Terms.

16. Termination

We reserve the right to suspend or terminate your account and access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services will immediately cease. Any provisions intended to survive termination will remain in effect, including sections regarding intellectual property, limitation of liability, indemnification, and dispute resolution.

17. Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws, without giving effect to conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction, as applicable under the laws of your jurisdiction.

18. General Provisions

If any provision of these Terms is found to be unlawful or unenforceable, that provision shall be severed and the remaining provisions shall remain in effect. These Terms constitute the entire agreement between you and Hyperprop. No waiver of any right shall be deemed a waiver of any subsequent right. These Terms are not assignable or transferable by you without our prior written consent. Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and Hyperprop.
